What broke
UWM hedged the servicing book it expected from its Two Harbors deal. The deal fell apart, the hedges stayed, and rates moved the wrong way. Revenue actually rose to $888 million in Q2, but the derivatives loss turned it into a $451.9 million net loss.
The rescue
The $2.05 billion package: $1.5 billion of Oaktree preferred paying 10% in cash or 13% if accrued, warrants struck at $2 and $6, $150 million from the Ishbia family's SFS Group, and a $400 million rights offering. Debt to equity goes from 5.6x to 1.2x.
The rights offering
Record date October 2, rights trade as UWMC RT from October 6 to November 11, and they expire November 12 at 5 p.m. ET. The price is the greater of $2.00 or 85% of the 10-day average from October 27 to November 9. Each right buys about 0.57 of a share.
Who paid
Of the $451.9 million loss, $80.6 million was attributable to UWMC, the public company. About $371 million, 82%, landed on the Ishbia family's Class D interest, and the family backstops the offering at $2.00.
